Seat Insiders Inc. Sales Terms & Conditions

These Sales Terms and Conditions ("Sales Terms") govern your use of SeatInsiders.com, purchases through interactions with our employees, and your purchase of any product from Seat Insiders Inc. (“Seat Insiders”). By using or visiting this site, or purchasing tickets in any manner from Seat Insiders, you expressly agree to abide and be bound by these Sales Terms, as well as all applicable laws, ordinances and regulations. You represent that you are legally able to enter into a binding contract. If you are under the age of 18, then you may only use this site or contact us in conjunction with, and under the supervision of, a parent or guardian. 

Below you will find the full Sales Terms, which include but are not limited to, the specific items below that we are highlighting for you:

●      All orders placed with Seat Insiders must be confirmed by the respective seller before our Buyer Guarantee takes effect.

●      Ticket prices may be above "face value" listed on the ticket (they may also be below "face value").

●      Confirmed orders may be filled with comparable or upgraded tickets if the original tickets are no longer available.

●      All sales are final; there are no cancellations, returns, or exchanges.

●      If an event is canceled, you will be given a full refund. If an event is postponed or rescheduled, and the original tickets are valid for entry at the time of the rescheduled event, your order will not qualify for a refund.

●      Our Buyer Guarantee provides for a full refund in the unlikely event that you do not receive valid tickets in time for you to attend the event.

COVID-19 Update & Policy

By purchasing tickets you agree to comply with any local, state, venue, artist, or team rules, laws, and policies as it relates to COVID-19 vaccination and or testing. COVID-19 policies can change at any time it is the full responsibility of the customer and their party to know and comply with all policies. Seat Insiders is in no way responsible for any changes in COVID-19 policies or rules as it relates to attending events and customers should consult the venue website for full information regarding any requirements and or COVID-19 restrictions.

Ticket Purchase Process

Seat Insiders works directly with secondary and primary providers to procure tickets for you. Seat Insiders may sell privately-owned inventory direct to clients. All ticket inventory is purchased through professional and authorized means. Seat Insiders will provide each client with quotes for their desired event(s). All quotes provided by Seat Insiders are inclusive of shipping charges and service charges.

Once you are provided with a quote you would like to accept, you must notify Seat Insiders. You must provide authorization to purchase in the form of written or verbal communication to Seat Insiders. Any form of written or verbal authorization to proceed on a quote will be seen as a final order. All quotes expire within 24 hours of issuance unless otherwise stated by Seat Insiders. Further, Seat Insiders reserves the right to reject any acceptance of any quote if circumstances change after issuance of said quote.

By placing an order, you authorize Seat Insiders to charge you for the total order amount through an authorized payment method. Once payment is received by Seat Insiders, we will start the procurement process. You will receive an itemized invoice via email from our point of sale once your order is submitted through our system. You will receive a second email once your tickets are available or are shipped. If you do not receive notification of ticket delivery, contact us directly at sales@seatinsiders.com for assistance.

Ticket Availability

All orders are subject to ticket availability and confirmation by Seat Insiders. Seat Insiders will use commercially reasonable efforts to procure and timely deliver the exact tickets ordered. If those tickets are no longer available, Seat Insiders reserves the right to replace tickets with comparable or upgraded tickets, at Seat Insiders reasonable discretion.

Payment

By placing your order, you authorize Seat Insiders to charge your method of payment for the total order amount. We accept all major Credit Cards & Debit Cards and PayPal. In the event that you dispute a charge and it is determined that the charge was valid and not the result of credit card or other payment fraud, Seat Insiders has the right to seek payment, including all associated fees, by whatever means necessary, including using collection agencies and legal proceedings. Seat Insiders may also mitigate its damages by relisting and selling the tickets that are the subject of the underlying payment dispute.

Delivery of Tickets

Tickets ordered may be delivered via Mobile Transfer, Instant Download, Email, UPS, or Special Delivery for the charge stated during the purchase process. Delivery will occur on or before the delivery date on the listing, regardless of delivery method. Special Delivery includes same day delivery and may include Will Call, Local Office or Hotel Pickup (typically within two (2) miles of the venue, if possible), or messenger service. The exact delivery location for Special Delivery orders will be provided to the buyer once made available to Seat Insiders.

When tickets are shipped to you, it is your responsibility to confirm that the tickets delivered to you are consistent with the order you placed. You shall have forty-eight (48) hours from the time of delivery to report any inconsistencies between your order and the delivered tickets. Seat Insiders shall not be liable or responsible for any inconsistencies discovered after the 48-hour window has passed. Seat Insiders reserves the right to change the delivery method, at its sole discretion, and may deliver tickets for any order up to one (1) hour prior to the event start time listed on the tickets.

If the delivery method changes at any time prior to delivery, Seat Insiders will notify the buyer. You must notify Seat Insiders if you have not received your tickets as expected but, in any event, within one (1) hour prior to the event. If you do not timely notify Seat Insiders, you may not be eligible for a refund based on non-delivery of tickets. Photo ID or other verification may be required to accept special delivery orders.

Ticket Holder Behavior Policy

Seat Insiders clients that attend live events must abide by the rules and policies of the venue, promoter, and/or any other party operating the event. Failure to follow such rules and policies may lead to consequences against you or the seller or original ticket holder. If you or another person using the ticket you purchased from Seat Insiders fails to abide by these rules and policies, you are responsible for all applicable fines and legal or other expenses associated therewith.

If you are asked to leave the event or you miss part of the event due to suspected or confirmed inappropriate behavior, you will not qualify for a refund. Should any violation result in the loss of the ticket seller's season ticket rights or right to use any other tickets at that venue, or the right to purchase other tickets from that venue, you will be held liable for all reasonable costs, expenses and losses associated with said loss including, but not limited to, lost profits and all other direct, indirect, vicarious, consequential, exemplary, incidental, special or punitive damages.

All Sales Final

All sales are final. No refunds will be given for any reason other than cancellation of the event or our failure to timely deliver valid tickets. If you are unable to attend an event or otherwise do not wish to use tickets from Seat Insiders, you may consign your tickets with Seat Insiders subject to certain restrictions. Once purchased, you may also elect to re-sell any tickets purchased through Seat Insiders through any legal method. Notwithstanding the above provisions, these Sales Terms shall apply to all subsequent purchasers or users of tickets sold by and through Seat Insiders and it shall be your responsibility to inform subsequent purchasers and users of these Sales Terms.

If Seat Insiders fails to deliver any ticket purchased by you, then our sole obligation or liability shall be limited to offering replacement tickets or refunding any payments made to Seat Insiders. Seat Insiders reserves the right to cancel and refund the buyer's order at any time and for any reason.

Cancelled and Postponed Events

Seat Insiders will refund the total order cost for cancelled events. To qualify for a refund, the buyer must return their tickets to Seat Insiders within two (2) weeks of receiving notice from Seat Insiders that the event is deemed “Cancelled.” Unless otherwise determined by Seat Insiders, in its sole discretion, no refunds will be given without return of the original tickets. Seat Insiders will determine when an event is cancelled based upon the best information available. Postponed or rescheduled events will not be refunded.

Event date, times, venue and subject matter may change. Seat Insiders is not always notified if a show is postponed, rescheduled or cancelled. It is your responsibility as a buyer to monitor the event and to confirm any changes to the event with the venue or organization hosting the event. In certain instances, a venue, promoter, or any other party hosting an event will require a ticket holder to relocate his or her seat or otherwise change the seating configuration in a manner beyond our control. Seat Insiders shall not be held responsible for any such change and will not be obligated to provide a refund or any other accommodation in the event of such changes.

Denial of Entry

If you have difficulty gaining entry to an event, contact Seat Insiders immediately by emailing sales@seatinsiders.com or calling 919-404-9911. If the issue you are experiencing is not resolved and you are denied entry, you must obtain proof from the venue verifying that you were denied entry and send that to Seat Insiders along with a statement describing the specific circumstances.

Upon receipt of the evidence, Seat Insiders will conduct an investigation. During that investigation, we will review the proof you submit and contact the original seller. In the event Seat Insiders determines that you were denied entry due to no fault of your own, you will receive a full refund of the cost of the ticket as the sole remedy. If the investigation results in a finding that you were not denied entry, did not attempt to use your tickets, or the denial of entry was the result of your fault or error, you will not be refunded and you may be subject to consequences described below. Any claim of denial of entry must be reported to Seat Insiders within forty-eight (48) hours of the event or you may be ineligible for a refund.

Lost, Stolen, or Damaged Tickets

Please keep your tickets in a safe place. Seat Insiders is not responsible for lost, stolen, damaged or destroyed tickets and will not refund your order if you cannot locate your tickets once they are delivered to you. As stated above, Seat Insiders is a ticket concierge firm and is not associated with any venue. Accordingly, Seat Insiders cannot re-print or re-issue replacement tickets. Please note that direct sunlight or heat can damage certain types of tickets.

Seat Insiders may, at your request, ask the original seller to re-issue your tickets. If you would like us to submit this request, the payment method on file will be charged 25% of the order total for the re-issuance of your tickets (maximum of $300). If a re-issue is not possible, you will be refunded the re-issue fee.

Consignment

This agreement is being made between you [Consignor] and Seat Insiders Inc [Seller]:

1. As a member of Seat Insiders, The Consignor may deliver any unneeded tickets [goods] for consignment, which shall remain property of the Consignor until they sell.

2. The Seller operates an online ticket resell business and agrees to make their best effort to sell Consignor's goods at a fair market price.

3. The Seller, at his/her own discretion, may opt to return unsold goods to Consignor at any time in either physical or digital formats. This agreement can be terminated by the Consignor or Seller prior to any sale of goods. For season ticket consignment Seat Insiders will list for sale any tickets you transfer to us. In the event you would like to attend an event we have listed for sale please notify us immediately and we will be able to check ticket availability and return them to you if not already sold. In the event, your tickets were sold, and you still would like to attend a specific event we will be able to acquire tickets for you as a separate purchase order.

4. The Seller does not provide any guarantees that your goods will be sold, and the seller will not liable for any losses incurred if inventory is not sold.

5. The Seller agrees that all proceeds due, minus 15% commission & ticket sale fees, will be available to Consignor on demand 1 business day after receiving payment from the buyer of the goods. The Seller agrees to provide a summarized invoice documenting the sale price of any goods to the Consignor at the time of payment. The Seller will provide payment to the Consignor once the proceeds are made available from the sale through electronic methods.

6. The Seller agrees to protect the authenticity of the goods at all times. The Seller has the right to modify the delivery method of the tickets and or change the barcodes in order to ensure authenticity to prospective buyers.

7. The Consignor agrees to provide authentic and valid goods at the time of delivery to the Seller. In the event that any goods delivered to the Seller prove to be invalid, the Consignor will be held legally and financially responsible for costs associated with any broken orders and must be willing to cooperate in the event of a denial of entry investigation. The Consignor agrees to provide a valid credit card & billing address for the Seller to keep on file in event that any goods are invalid, and the Seller has the right to charge the Consignor any damages it may be liable for in the event of a broken order.

8. The Consignor should understand that teams, artists, and venues have the ability to monitor resale of tickets on the secondary market. As a season ticket owner, you should understand this risk. In the event that your season tickets are invalidated/confiscated/taken away by the team, Seat Insiders will not be held legally or financially responsible. As a professional brokerage that sells thousands of tickets per year, we follow a high level of ethical standards in the industry and make every attempt to protect your assets.

9. Miscellaneous Confidentiality. Consignor agrees to keep the terms of this Agreement confidential. .

Seat Insiders uses your personal information as described in Seat Insiders Privacy Policy.

Unlawful Activity & Acceptable Use

Seat Insiders prohibits the use of its website, data, or company assets for unlawful conduct. All users must comply with all local, state, federal and international laws, ordinances and regulations. By using our service, you agree not to use any false personal information or use an invalid or unauthorized credit or debit cards. You agree not to use or permit anyone to use information provided through Seat Insiders for any unlawful or unauthorized purpose.

Seat Insiders is the sole interpreter of its site's intended and acceptable use. Its site is intended to be used by individuals or companies seeking to buy or sell tickets for ultimate use by an individual to attend an event and for no other purpose. If you are a venue, promoter or anyone else responsible for controlling admission to an event, you may not access our site or purchase tickets on this site for purposes of (i) identifying tickets available on our site or the sellers of those tickets; or (ii) revoking or voiding any tickets offered by sellers on this site or otherwise penalizing any sellers for offering tickets on this site.

Investigations and Consequences

Seat Insiders monitors compliance with these Sales Terms and investigates alleged violations. This includes any attempt to defraud, or otherwise harm Seat Insiders or our partners. You are required to cooperate in such investigations including, but not limited to, providing any and all information requested.

Following an investigation, or for any other reason, Seat Insiders may, without prior notice, enforce certain consequences for violations of the Sales Terms, attempts to harm Seat Insiders or failure to cooperate with an investigation. Such consequences include but are not limited to:

●      Canceling confirmed orders

●      Issuing a warning

●      Suspending or terminating your account

●      Denying access to Seat Insiders services

●      Rejecting pending orders

●      Blocking future transactions

●      Taking legal action such as filing civil or criminal charges or seeking an injunction.

You agree that monetary damages may not provide a sufficient remedy to Seat Insiders for violations of these Sales Terms and that the damages and harm caused by such violation may lead to impaired goodwill, lost sales and increased expenses that are difficult to calculate. Accordingly, you consent to injunctive or other equitable relief for such violations.

Seat Insiders reserves the right to report to appropriate law enforcement authorities or other relevant third parties any activity that it believes, in its sole discretion, may in any way violate any local, state, federal or international law.

Force Majeure

Seat Insiders is not liable for failure to fulfill its obligations for any accepted order or for delays in delivery due to causes beyond Seat Insiders reasonable control including, but not limited to, acts of God, natural or artificial disaster, riot, war, strike, delay by carrier, acts or omissions of other parties, acts or omissions of civil or military authority, Government priorities, changes in law, material shortages, fire, strikes, floods, epidemics, quarantine restrictions, acts of terrorism, and delays in third-party transportation. In event of a force majeure condition, Seat Insiders’ time for performance shall be extended for a period equal to the time lost as a consequence of the force majeure condition without subjecting Seat Insiders to any liability or penalty. Seat Insiders may, at its option, cancel the remaining performance, without any liability or penalty, by giving notice of such cancellation.

Limitation of Liabilities

SEAT INSIDERS SHALL HAVE NO LIABILITY FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES OF ANY KIND. THESE LIMITATIONS ARE AGREED ALLOCATIONS OF RISK. BUYER’S RECOVERY FROM SELLER FOR ANY CLAIM SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE PRODUCTS OR SERVICES PROVIDED IRRESPECTIVE OF THE NATURE OF THE CLAIM WHETHERIN CONTRACT, TORT, WARRANTY, OR OTHERWISE.

Governing Law and Venue

These Sales Terms shall be governed by and construed in accordance with the internal laws of the State of North Carolina without giving effect to any choice or conflict of law provision or rule. Each party irrevocably submits to the exclusive jurisdiction and venue of the federal and state courts located in the County of Wake, North Carolina in any legal suit, action, or proceeding arising out of or based upon this Agreement or the Services provided hereunder.
